Contractual information
Terms and conditions of sale
Scope
These terms and conditions of sale apply to all web development services offered by Corentin Diard, an independent software developer operating as a French sole trader (micro-entreprise, SIRET 902 521 533 00023) ("the Provider"), to its professional clients ("the Client"). Specific terms agreed in a quote signed by the Client take precedence over these terms in case of conflict.
Quotes and orders
Each service is the subject of a detailed, free, no-obligation quote, valid for 30 days from the date it is issued. An order is considered firm once the Client returns the signed quote, along with any deposit requested.
Scope of services
The services included (pages, features, options) are detailed in the quote accepted by the Client: anything not explicitly listed there is out of scope and subject to an additional quote. Unless the quote states otherwise, the following are notably not included :
– writing copy or providing professional photography/video ;
– subscriptions to third-party services required for the site to run (online payment, online booking, hosting or domain name beyond the first year) ;
– training or support beyond what the quote explicitly provides ;
– integrating any tool, API, or third-party service not mentioned in the quote.
Pricing and payment terms
Prices are shown in euros. Unless the quote sets out a different schedule, payment is split evenly between the order and delivery. Late payment automatically incurs a penalty equal to three times the French statutory interest rate, plus a flat-rate recovery compensation of €40 (article L441-10 of the French Commercial Code), without prejudice to further compensation if actual recovery costs exceed that amount.
Delivery timeline
Timelines given in the quote are indicative and start once the Client has provided everything needed (copy, images, access, approvals). Any delay in providing these pushes the delivery date back by the same amount.
Client's obligations
The Client agrees to provide, in a timely manner, the information, content, and approvals needed to carry out the service, and warrants holding the necessary rights to any content (text, images, logos) it supplies to the Provider.
Intellectual property
Source code developed specifically for the Client is transferred to them once the service is paid in full, unless the quote states otherwise. The Provider retains the right to reuse, on other projects, any generic technical building blocks developed along the way that are not specific to the Client.
Hosting and maintenance
Where hosting and/or maintenance are included, they are included for the period stated in the quote (typically one year for base hosting). Beyond that, renewal is billed annually or monthly, communicated ahead of the renewal date. The Client's domain name may be registered under the Provider's own account to simplify technical management, but it remains tied to the Client's business: should the relationship end, the Provider agrees to transfer the domain name to the registrar of the Client's choice and export the site to the host of the Client's choice, within 30 business days of the Client's written request, at no cost from the Provider (any fees charged by a third party — new registrar, new host — remain the Client's responsibility).
Liability
The Provider agrees to carry out the service with care and in line with standard practice. The Provider cannot be held liable for a malfunction caused by a third-party service (host, payment provider, integrated external tool) or by use of the site inconsistent with its intended purpose.
Right of withdrawal
Under article L221-28 of the French Consumer Code, the right of withdrawal does not apply to services fully performed before the end of the withdrawal period with the Client's express agreement, nor to contracts between businesses acting within their professional activity.
Governing law and disputes
These terms are governed by French law and apply exclusively to professional clients. In the event of a dispute, an amicable solution will be sought first. Failing that, the competent courts will be those of Périgueux, France.
Personal data
How the Client's personal data is handled is detailed on the site's Legal notice page.
Acceptance
Signing the quote constitutes the Client's unreserved acceptance of these terms and conditions of sale.
